Governance

How We’re Governed

Earthen Vessel Foundation is governed by a volunteer Board of Directors elected by the Corporation’s Members, in accordance with the Canada Not-for-profit Corporations Act. The Board sets strategic direction and provides financial and risk oversight, while day-to-day operations are led by the Founder & Director, who reports to the Board.

Board Composition

Our Board has between three and nine directors. Consistent with the requirements for soliciting corporations under the Act, at least two directors are independent of Corporation staff and management. Directors serve as volunteers and are not compensated for their role as directors.

  • An annual financial review or audit is conducted in accordance with the Act
  • No part of the Corporation’s income or property is distributed to Members, directors, or officers, other than reasonable reimbursement of expenses or compensation for services rendered
  • Upon dissolution, any remaining assets will be distributed to one or more registered charities with similar purposes, as required by the Income Tax Act (Canada)
